The Opportunity

We are seeking a highly skilled and business-minded General Counsel to join our team as our first in-house attorney. Reporting to the CFO, you will partner closely with leaders across the organization to manage risk, ensure compliance, and enable smart, sustainable business decisions. This is a hands-on, strategic role for someone who thrives in a fast-paced SaaS environment and enjoys balance legal rigor with practical business judgment.

What You’ll Do

Lead and Build the Legal Function

  • Establish and manage the company’s in-house legal function, creating scalable frameworks for contracts, compliance, and governance.
  • Serve as the company’s primary legal advisor, translating complex legal issues into actionable guidance for business leaders.

Commercial & Contract Management

  • Draft, negotiate, and manage a wide range of commercial agreements including customer, vendor, partnership, and technology contracts.
  • Develop contract templates, playbooks, and review processes to drive efficiency and reduce turnaround time.

Risk & Compliance

  • Identify and mitigate enterprise risks across commercial, regulatory, and operational areas.
  • Maintain compliance with applicable laws, including data privacy (GDPR, CCPA), employment, and financial regulations.
  • Partner with Finance, IT, and Security to ensure proper risk management and data governance practices.

Corporate Governance & Entity Management

  • Maintain all corporate records and ensure compliance with state, federal, and international business regulations.
  • Support corporate structure changes, entity management, and annual filings.

Employment & People Advisory

  • Advise on employment law matters, including offer structures, policies, and employee relations.
  • Partner with People Operations to ensure fair, compliant, and transparent workplace practices.

Intellectual Property & Data Protection

  • Protect company IP, trademarks, and proprietary information.
  • Support the product and engineering teams in managing data privacy, licensing, and security compliance requirements.

External Counsel & Litigation Oversight

  • Manage relationships with outside counsel for specialized areas (e.g., litigation, employment, IP, data protection).
  • Oversee dispute resolution and regulatory matters to minimize financial and reputational risk.

Strategic Transactions

  • Support financing rounds, M&A, and strategic partnerships through due diligence, structuring, and documentation review.

What We’re Looking For

  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in Utah (or ability to register as in-house counsel).
  • 10+ years of legal experience, ideally with both law firm and in-house counsel experience in a technology or SaaS environment.
  • Proven expertise in corporate law, commercial contracts, and compliance.
  • Excellent negotiation, drafting, and communication skills with the ability to simplify complex issues.
  • Entrepreneurial mindset and comfort operating in a hands-on, high growth environment.
  • High level of integrity, sound judgment, and strong alignment with company values.

Interviewing @ Canopy:

Application processes can be a little stressful. Here are the stages of a typical interview process at Canopy:

  • Once your application is received, we will review it and get back to you if we feel like it’s a mutual fit!
  • 20-minute phone call with the People Team
  • 45-60-minute video or in-person interview with the Hiring Manager
  • 1-3 rounds of interviews, depending on the role
  • Final Interview

Interview processes can vary depending on the role. The People Team will give you a role-specific overview of the process during your first phone call.
